Indy Creative Core LLC Terms of Service

Acceptance of Terms

Welcome to Indy Creative Core LLC ("ICC," "we," "us," or "our"). By engaging with our marketing agency and its divisions - Awesurance, Love & Hope Design, and Nita Media - you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service.

Services

ICC provides a range of marketing, design, and media services through its divisions: Awesurance, Love & Hope Design, and Nita Media. Specific details of the services to be provided, including scope, timelines, and pricing, are outlined in a separate agreement between ICC and the Client, if applicable.

Client Responsibilities

The Client agrees to:

Provide accurate and complete information necessary for the execution of services.

Cooperate and provide timely feedback and approvals as required.

Adhere to agreed-upon payment terms and schedules.

Payments

The Client agrees to pay ICC the fees specified in the service agreement. Invoices will be provided electronically and are due within the specified timeframe. Failure to make timely payments may result in project delays or termination of services.

Intellectual Property

Any intellectual property developed by ICC in the course of providing services, including but not limited to designs, content, and strategies, remains the property of ICC until full payment is received. Upon full payment, the Client will have a non-exclusive license to use the deliverables solely for their intended purpose.

Confidentiality

Both parties agree to treat all information shared during the course of the engagement as confidential. This includes but is not limited to business strategies, financial information, and proprietary materials.

Changes and Revisions

Changes to project scope or specifications may incur additional fees and timeline adjustments. ICC will communicate any potential changes and seek the Client's approval before proceeding.

Termination

Either party may terminate the engagement by providing written notice. The Client agrees to pay for services rendered up to the termination date.

Limitation of Liability

ICC is not liable for any indirect, special, incidental, or consequential damages arising from the provision of services. ICC's total liability for any claim related to the services provided is limited to the total fees paid by the Client.

Governing Law

These Terms of Service are governed by the laws of the jurisdiction in which ICC is registered.

Amendments

ICC reserves the right to modify these Terms of Service at any time. Amendments will be effective upon posting on our website.

Entire Agreement

These Terms of Service constitute the entire agreement between ICC and the Client and supersede any prior agreements or understandings, whether written or oral.

By proceeding with any payment to ICC, you acknowledge that you have read, understood, and agreed to these Terms of Service.
